About these terms
These terms apply to your use of www.middlesurf.com (the “website”) and the AI assistant that answers our main phone line, +1 (647) 276-6200 (the “assistant”), which are operated by Middlesurf Inc. (“Middlesurf”, “we”, “us”), an Ontario corporation located at 85 Ben Sinclair Ave, East Gwillimbury, Ontario L9N 0S3, Canada.
By using the website or calling the assistant, you agree to these terms. If you use them on behalf of a business, you confirm that you are authorized to accept these terms for that business. If you don’t agree, please don’t use the website or the assistant.
These terms don’t cover services we provide to clients under a separate written agreement. If you become a client, that agreement applies to those services.
Our Privacy Policy explains how we handle personal information.
Using the website
You may use the website to learn about Middlesurf, contact us and request a demo. You agree not to:
- Use the website in a way that breaks the law or infringes anyone’s rights
- Submit false information, or information about someone else without their permission
- Try to gain unauthorized access to the website, our systems or other users’ information
- Interfere with the website’s operation, including by overloading it, spreading malware or getting around security measures such as rate limits or bot protection
- Scrape, copy or harvest content or data from the website by automated means, except as allowed by our robots.txt file
Calling our AI assistant
Our main line is answered by an AI assistant. When you call it, you agree to the following:
- No impersonation or unlawful use. Don’t use the assistant to impersonate a person or business, mislead anyone, collect other people’s personal information, harass anyone or do anything unlawful.
- Answers may be wrong. The assistant is an AI. Its answers may be incomplete or inaccurate. Don’t rely on them for any real decision without checking with our team.
- Don’t share sensitive information. Please don’t share health, financial or other sensitive personal information on the call.
- Calls may be recorded. Calls may be recorded, transcribed and summarized, as described in our Privacy Policy, and our team may review them.
- Availability isn’t guaranteed. The assistant may be unavailable, slow or interrupted at times. We may change, suspend or withdraw it at any time and without notice.
Calling the assistant doesn’t create a client relationship or commit you to buying anything.
Intellectual property
The website, the assistant and their content — including text, graphics, the Middlesurf name and logo, software and the design of the website — belong to Middlesurf or its licensors and are protected by copyright, trademark and other laws. You may view and print pages for your own business use in evaluating Middlesurf. You may not copy, modify, republish or sell any part of them without our written permission.
If you send us feedback or ideas, we may use them without any obligation to you.
Links to other websites
The website links to websites we don’t control. Some of these belong to companies affiliated with Middlesurf, including ComputeGuy (computeguy.com) and RoutingPanel (routingpanel.com). Each of those websites has its own terms and privacy policy, which apply when you use it. We are not responsible for the content or practices of third-party websites.
Disclaimers
The website and the assistant are provided “as is” and “as available”. Information on the website is general and may change; it is not legal, privacy, compliance or technical advice for your situation. Where we describe privacy or compliance features, we mean that our services are designed to support your obligations — not that using them makes you compliant.
To the extent permitted by law, we make no warranties or conditions of any kind about the website or the assistant, express or implied, including that they will be accurate, uninterrupted, secure or error-free, or fit for a particular purpose.
Limitation of liability
To the extent permitted by law, Middlesurf and its directors, employees and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising from your use of, or inability to use, the website or the assistant — even if we were told such damages were possible.
To the extent the law allows, we’re not liable for any losses arising from your use of the website or from relying on the assistant’s answers.
Some jurisdictions don’t allow certain limitations, so some of these may not apply to you.
Indemnity
You agree to compensate Middlesurf for any claims, losses and reasonable costs (including legal fees) arising from your breach of these terms or your misuse of the website or the assistant.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario. You and Middlesurf agree that the courts of Ontario have exclusive jurisdiction over any dispute relating to these terms, the website or the assistant, unless the law where you live gives you the right to bring a claim elsewhere.
Changes to these terms
We may update these terms from time to time. We will post the new version on this page with a new “last updated” date. If you keep using the website or the assistant after the change, the new terms apply.
General
If any part of these terms is found to be unenforceable, the rest stays in effect. If we don’t enforce a term right away, we can still enforce it later. These terms, with our Privacy Policy, are the whole agreement between you and Middlesurf about the website and the assistant.
